Rep Agreement
Washermann Africa Ltd ("Washermann") and the Representative ("Rep") accepting this Agreement. Effective on acceptance at onboarding. Version date: September 1, 2026
1. Relationship — independent contractor
The Rep is an independent contractor, not an employee or agent of Washermann. The Rep controls the manner of performing tasks and is responsible for its own taxes, transport, devices, and statutory obligations. The Rep may decline assignment offers without penalty and may work with other platforms.
2. Onboarding, assessment & verification
- The Rep must complete onboarding, any required tutorial/assessment, and provide accurate identity details, service area(s), and (for payouts) bank account details.
- Washermann may verify, suspend, or deactivate a Rep at its discretion for incomplete/false information, poor conduct, or inactivity.
- The Rep must set availability accurately; assignments are offered based on area and availability.
3. Duties
The Rep agrees to:
- respond to assignment offers promptly and honestly;
- perform pickups/deliveries and garment counts diligently where applicable;
- treat customers, vendors, and garments with care and respect;
- protect customer personal data and use it only for assigned tasks;
- comply with the Platform's policies and applicable law.
4. Rewards, commissions & how they are calculated
- The Rep may earn referral rewards (e.g. for referring a vendor or customer who qualifies) and/or task earnings (e.g. a share of completed orders), as configured by Washermann.
- Reward rates are set by Washermann and may be changed, suspended, or withdrawn at any time. Changes apply prospectively; rewards already validly earned are honoured, except that Washermann may correct rewards granted in error (including reducing or reversing amounts credited at an incorrect rate).
- Rewards are subject to eligibility, caps, anti-abuse rules, and the Referral Program Terms. Self-referrals, fake accounts, and manipulation void rewards.
5. Payouts
- Earnings accrue in the Rep's balance, denominated and payable in Naira.
- The Rep requests a payout of available earnings to a verified bank account; Washermann reviews and disburses via its processor (Paystack), subject to minimums and anti-fraud checks.
- Washermann may withhold, delay, or reverse payouts related to fraud, error, chargebacks, disputes, or breach.
6. Expenses & equipment
The Rep bears its own costs (transport, data, phone) unless expressly agreed otherwise. No expenses are reimbursed except as Washermann states in writing.
7. Conduct & non-solicitation
The Rep will not misrepresent Washermann, collect payments off-Platform, or divert customers/vendors to circumvent the Platform. Breach may forfeit earnings and end the relationship.
8. Data protection
The Rep handles customer/vendor personal data only for assigned tasks, keeps it confidential, does not retain or reuse it, and complies with the NDPA.
9. Suspension & termination
Washermann may suspend/deactivate for breach, fraud, poor performance, or inactivity. Either party may terminate on notice. Verified earnings owed (net of deductions) are paid per the payout process. Confidentiality, non-solicitation, and data obligations survive.
10. Limitation of liability
Neither party is liable for indirect/consequential loss. Washermann's aggregate liability to the Rep is limited to unpaid verified earnings owed.
11. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria.
12. Acceptance
By accepting at onboarding (recorded with a timestamp), the Rep agrees to these terms.
